{"id":2361,"date":"2008-04-22T20:04:22","date_gmt":"2008-04-23T01:04:22","guid":{"rendered":"http:\/\/www.mathewingram.com\/work\/?p=2361"},"modified":"2008-04-22T20:04:22","modified_gmt":"2008-04-23T01:04:22","slug":"ebay-to-craigslist-oh-no-you-didnt","status":"publish","type":"post","link":"https:\/\/mathewingram.com\/work\/2008\/04\/22\/ebay-to-craigslist-oh-no-you-didnt\/","title":{"rendered":"eBay to Craigslist: Oh no you didn&#8217;t"},"content":{"rendered":"<p><b>Update:<\/b><\/p>\n<p>A post <a href=\"http:\/\/blog.craigslist.org\/2008\/04\/tainted-love\/\">at the newish Craigslist blog<\/a> says that the company is:<\/p>\n<blockquote><p>&#8220;surprised and disappointed by Ebay\u00e2\u20ac\u2122s unfounded allegations, which came to us out of the blue, without any attempt to engage in a dialogue with us.&#8221;<\/p><\/blockquote>\n<p>And the post goes on to say that eBay has no reason to feel threatened<\/p>\n<blockquote><p>&#8220;unless of course they\u00e2\u20ac\u2122re contemplating a hostile takeover of craigslist, or the sale of Ebay\u00e2\u20ac\u2122s stake in craigslist to an unfriendly party. (In which case, they\u00e2\u20ac\u2122re out of luck!)&#8221;<\/p><\/blockquote>\n<p>So there you have it. Not much clearer than before, but it certainly lends some support to the &#8220;poison pill&#8221; idea. It&#8217;s possible that Craigslist implemented some kind of provision that would change the share structure in the event that eBay mounted some kind of hostile takeover attempt. Don&#8217;t you wish the court hadn&#8217;t sealed those documents? Maybe we can buy copies on Craigslist.<\/p>\n<p><b>Original post:<\/b><\/p>\n<p>It seems that now, along with other Craigslist mysteries &#8212; such as why the site sticks with that 1996 design, and why Jim and Craig don&#8217;t just sell out and buy a small Latin American country &#8212; we have the mystery of what the dynamic duo did to <a href=\"http:\/\/www.nytimes.com\/2008\/04\/22\/technology\/22cnd-ebay.html?_r=1&amp;ei=5088&amp;en=61488ae8a64a3aeb&amp;ex=1366603200&amp;adxnnl=1&amp;oref=login&amp;partner=rssnyt&amp;emc=rss&amp;pagewanted=all&amp;adxnnlx=1208911286-0QZrAbNKWyGo+cZY60dbJg\">make eBay so mad<\/a>. The auction site, which has about 300 employees and $2-billion dollars for every one that Craigslist has, is suing Craig and Jim for &#8220;unfairly diluting&#8221; eBay&#8217;s 25-per-cent stake in the classified service. As some readers may know, eBay wound up with a stake after an early employee sold his shares, something Valleywag has covered in <a href=\"http:\/\/valleywag.com\/tech\/mythbusting\/craig-newmark-filthy-rich-on-ebays-millions-283002.php\">great detail<\/a> and was also confirmed by Craig in <a href=\"http:\/\/finance.yahoo.com\/tech-ticker\/article\/7628\/Craigslist-Founder-Talks-Biz-Recession-eBay-Community?tickers=eBay,MSFT,NWS\">an interview with<\/a> Sarah Lacey on TechTicker.<\/p>\n<p>So what did Craig and Jim do to get eBay&#8217;s knickers in a knot? Dilution implies that shares were issued that reduced the value of eBay&#8217;s stake in the company. But why would Craigslist do that? Peter Kafka at Silicon Alley Insider says it&#8217;s <a href=\"http:\/\/www.alleyinsider.com\/2008\/4\/craigslist_investor_ebay_sues_craigslist_seriously\">likely because<\/a> the classified site was raising money &#8212; although even he admits that doesn&#8217;t really make any sense. Why would a company with about $100-million in revenue and costs of about $30-million have to raise money? My friend Paul Kedrosky wonders whether Craig introduced <a href=\"http:\/\/paul.kedrosky.com\/archives\/2008\/04\/22\/when_meg_sued_c.html\">some kind of poison pill<\/a> that would reduce eBay&#8217;s stake if they pulled something the site didn&#8217;t like. <\/p>\n<p>And what might that be? Well, what if eBay went into competition with Craigslist? That&#8217;s exactly what happened when eBay-owned classified site Kijiji announced last year that it was moving into the U.S., and it has quickly become a major competitor to Craigslist. The dilution eBay is complaining about took place in January &#8212; which is about the time that Kijiji was <a href=\"http:\/\/seekingalpha.com\/article\/66401-ebay-s-kijiji-talks-smack-about-craigslist-we-ll-be-1-in-the-u-s\">talking all kinds of smack<\/a> about eating Craigslist&#8217;s lunch. Did Jim and Craig issue themselves some more stock around then?
